Master Service Agreement (the “Agreement”)
This Agreement is between Reshape Automation Inc., a Delaware corporation (the “Provider”), and the organization agreeing to these terms (the “Customer”).
The Agreement becomes effective on the last signature date of the applicable Order Form (the “Effective Date”) issued by Provider.
1. Definitions
- 1.1. “Order Form” means a Provider ordering document executed by the parties that references this Agreement and sets subscription details (term, edition/modules, usage limits, and fees).
- 1.2. “Agent Services” means Provider’s hosted AI agents and agentic workflows delivered via Interfaces under an Order Form.
- 1.3. “Interfaces” means the mechanisms through which Customer and its Users access or invoke the Agent Services as Provider may make available from time to time, including Provider-hosted chatbots, embeddable web widgets/forms, SDKs, connectors, webhooks, batch or event-driven jobs, CLI or automation tools, email/SMS/voice interfaces, and API endpoints, whether hosted by Provider or embedded in Customer environments.
- 1.4. “Customer Data” means data and content submitted to or collected in the Agent Services by or for Customer (excluding Provider Materials).
- 1.5. “Output” means results or content generated by the Agent Services from prompts or inputs provided by or for Customer.
- 1.6. “User” means an individual authorized by Customer (including employees, contractors, Affiliates, and Customer’s own customers/end users) to interact with the Agent Services via Interfaces.
- 1.7. “Usage Limits” means the quantitative limits in an Order Form (e.g., workflow Runs, requests, storage, or compute).
- 1.8. “Subscription Term” means the period during which Customer is authorized to use the Agent Services, as stated in the Order Form.
- 1.9. “Confidential Information” means non-public information disclosed by one party to the other that is marked confidential or should reasonably be understood as confidential.
- 1.10. “Beta Services” means features identified as alpha, beta, preview, or otherwise not generally available.
- 1.11. “Documentation” means Provider’s user guides and technical docs for the Agent Services that Provider makes available.
- 1.12. “SLA” means Provider’s Service Level Agreement referenced in an Order Form.
